Terms of Service

1. Annual Commitment Period

By subscribing to OneRate, you are entering into a binding twelve (12) month service agreement. While the service fee is billed in monthly installments of $19.95 USD, the commitment is for a full calendar year starting from the date of activation.

2. Subscription & Billing

• Monthly Billing: Your account will be charged $19.95 USD every 30 days.
• Total Contract Value: The total financial obligation for the initial 12-month term is $239.40 USD.
• Authorization: By providing your payment information, you authorize Prospection SC LLC to charge your method of payment for the duration of the term.
• Payment Methods: We accept major credit cards and debit cards via Stripe payment processing.
• Failed Payments: If a payment fails, service may be suspended after a 5-day grace period. A $10 failed payment fee may apply.

3. Early Termination & Cancellation Policy

You may request to terminate your service at any time; however, cancellation does not waive the remaining financial obligation of the annual commitment.

• Calculation of Charges: The termination charge is calculated by multiplying the number of months remaining in the contract by the monthly rate of $19.95.
• Example: Cancellation at month 6 will result in an immediate final charge of $119.70 USD (representing the remaining 6 months of the term).
• Cancellation Process: To cancel, log into your client portal or contact support at info@one-rate.com with 30 days notice.
• Post-Term Cancellation: After completing the initial 12-month term, service continues month-to-month and may be cancelled at any time without ETF.

4. Reasonable Use Policy

OneRate services are designed for normal business telecommunications use. While we provide generous allowances, the following fair use guidelines apply:

4.2 Prohibited Uses

The following activities are strictly prohibited and may result in immediate service termination:

• Telemarketing, robocalls, or unsolicited commercial calling
• Call center operations exceeding 8 hours of continuous use per day
• Auto-dialing or predictive dialing systems
• Reselling or sharing of service with third parties
• SPAM messaging or illegal communications
• Fraudulent calling or caller ID spoofing
• International premium rate calling (e.g., 900 numbers)
• Harassing, threatening, or illegal content

5. Service Level Agreement (SLA)

• Uptime Guarantee: OneRate commits to 99.99% network uptime on a monthly basis.
• Scheduled Maintenance: Planned maintenance windows will be announced 72 hours in advance.
• Service Credits: If uptime falls below 99.9% in a billing period, you may request a service credit equal to one day of service ($0.66).

6. Number Portability

• You may port your existing phone number to OneRate at no charge.
• Port requests typically complete within 7-10 business days.
• Do not cancel your existing service until the port is complete to avoid losing your number.
• Upon cancellation of OneRate service, you may port your number to another carrier within 30 days.

7. Data Privacy & Security

• OneRate encrypts all voice calls using AES-256 encryption.
• Customer data is never sold or shared with third parties without consent.
• Call detail records are retained for 12 months for billing and regulatory compliance.

8. Intellectual Property

All OneRate software, applications, trademarks, and service marks are the property of Prospection SC LLC. You are granted a limited, non-exclusive, non-transferable license to use the services for the term of your subscription.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PROSPECTION SC LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, OR OTHER INTANGIBLE LOSSES.

Our total liability to you for any damages shall not exceed the amount you paid for services in the 12 months preceding the claim.

10. Dispute Resolution & Arbitration

• Any disputes arising from this agreement shall be resolved through binding arbitration under the American Arbitration Association rules.
• Arbitration shall take place in Dallas County, Texas.
• You waive your right to participate in class action lawsuits against OneRate or Prospection SC LLC.
• Small claims court actions under $10,000 are exempt from arbitration.

11. Modification of Terms

Prospection SC LLC reserves the right to modify these terms with 30 days written notice via email. Continued use of the service after changes constitutes acceptance of new terms. Material changes to pricing or commitment terms will not apply to existing customers until their current term expires.

12. Acceptance of Terms

By clicking "Start my plan," "Sign up," or by using the OneRate services, you acknowledge that you have read, understood, and agreed to be bound by these terms, including the mandatory one-year commitment and the associated early termination charges.
